Terms of Service

The agreement between you (the merchant) and ShipOps governing your use of the app.

This is a template for a Shopify app's terms. It is not legal advice — have a lawyer review it, and confirm the operating entity and governing-law jurisdiction before publishing.

1. Acceptance of these terms

By installing or using ShipOps (the "Service"), operated by Smart Agent (SMC-Private) Limited, you agree to these Terms of Service. If you are using the Service on behalf of a business, you represent that you have authority to bind that business. If you do not agree, do not install or use the Service.

2. The service

ShipOps is a Shopify-embedded application for cash-on-delivery logistics. It syncs your orders, tracks parcels with your courier partner, surfaces deliveries that need action, enables operator-initiated WhatsApp and phone contact, writes delivery status back to Shopify where you enable it, and reconciles courier payout receipts. Features and limits are described on our website and may change as the Service evolves.

3. Accounts & eligibility

  • You need an active Shopify store and a valid courier account (e.g. PostEx) to use the Service.
  • You are responsible for the credentials and API tokens you connect, and for the activity of staff you grant access.
  • You must provide accurate information and keep it current.

4. Plans, trials & billing

  • ShipOps offers a free plan and paid plans (Growth and Scale). Every feature is available on every plan; plans differ by monthly volume caps.
  • Paid plans include a 14-day trial. Billing is handled through Shopify's managed app pricing and appears on your Shopify invoice.
  • Caps reset monthly. Exceeding a cap limits new workflow actions for the rest of that month; your data always stays complete and correct and nothing is deleted.
  • Fees are stated exclusive of any taxes. Except where required by law, payments are non-refundable.
  • Promotional pricing (e.g. the Pioneer rate) applies only to eligible stores as described at the time of the offer.

5. Acceptable use

You agree not to: use the Service to send unlawful, deceptive, or unsolicited bulk messages; violate WhatsApp's or Meta's terms; violate your courier's or Shopify's terms; attempt to reverse-engineer, resell, or overload the Service; or use it to process data you are not authorized to process. You are responsible for your communications with customers and for complying with applicable consumer, messaging, and data-protection laws.

6. Third-party integrations

The Service depends on third parties including Shopify, your courier partner, and WhatsApp/Meta. We are not responsible for their availability, accuracy, or actions. Courier tracking data and payout receipts are provided by the courier; ShipOps surfaces and reconciles them but does not control their correctness. Your use of each third party is governed by that party's own terms.

7. Intellectual property

The Service, including its software, design, and content, is owned by Smart Agent (SMC-Private) Limited and protected by law. We grant you a limited, non-exclusive, non-transferable right to use the Service while these terms are in effect. Your store data remains yours; you grant us the limited rights needed to operate the Service for you, as described in our Privacy Policy.

8. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, express or implied. We do not warrant that reconciliation figures, dispute evidence, tax calculations, or delivery outcomes are error-free or will result in any specific recovery, and they do not constitute financial, tax, or legal advice. You remain responsible for verifying figures before acting on them.

9. Limitation of liability

To the maximum extent permitted by law, ShipOps and its operator will not be liable for indirect, incidental, special, or consequential damages, or for lost profits, revenue, data, or goodwill. Our total aggregate liability arising out of the Service will not exceed the amount you paid us in the 12 months before the claim.

10. Term & termination

These terms apply while the Service is installed. You may stop using and uninstall the Service at any time; on uninstall, syncing stops immediately and your data is deleted as described in the Privacy Policy. We may suspend or terminate access for breach of these terms or to comply with law. Sections that by their nature should survive termination will survive.

11. Changes & contact

We may update these terms; material changes will be reflected in the "last updated" date and, where appropriate, notified in-app. Continued use after changes means you accept them. Questions: support@shipops.app.
